The agreement between you and Verion when you engage us to build, run, or maintain AI-powered automations for your business.
This summary is for convenience only. The full terms below are what actually govern our working relationship.
These Terms of Service ("Terms") set out the rules that apply when you engage Verion to provide AI automation services. By booking an audit call, signing a proposal, or using any service we provide, you agree to be bound by these Terms.
Verion is operated by Nicola Mancini, an independent provider based in Thailand, serving clients worldwide.
Verion designs, builds, and manages AI-powered automation systems for businesses. Our services include, but are not limited to:
Each engagement is scoped individually. The specific deliverables, timelines, and pricing for your project are set out in the proposal we send you before any work begins.
Every engagement follows the same process:
If you need changes outside the agreed scope, we'll discuss them with you first and agree on any additional cost in writing before proceeding.
Verion charges a one-time setup fee for the initial build and a monthly retainer for ongoing management and support. The setup fee is normally split into a deposit, payable before work starts, and a balance, payable on delivery. All amounts are specified in your proposal and agreed before work starts.
Invoices are payable within 14 days of the invoice date. Payments are accepted by card or bank transfer through our payment provider. The name on your invoice or bank statement may be the account holder's personal name rather than "Verion".
If payment is overdue by more than 14 days, we reserve the right to pause active services until the balance is settled. Work already completed and delivered is not refundable, apart from the 30-day launch guarantee in section 12.
To deliver the best results, we need your help. As a client, you agree to:
Delays caused by late access, feedback, or information may affect your project timeline.
To deliver our services, we rely on third-party platforms including AI model providers, telephony and messaging services, CRM systems, scheduling tools, and workflow-automation platforms.
We configure and connect these tools on your behalf, but we do not own or control them. Some may require you to hold your own paid account. If a third-party provider changes its pricing, features, or terms, we will work with you to adapt, but we cannot guarantee uninterrupted service from platforms outside our control.
AI is useful, but it makes mistakes and it is not a person. Please keep in mind:
We build with care and stand behind our work, but AI automation is a tool; results depend on many factors, including your business, your market, and how your customers respond.
You own your data. All customer data, business information, and content you provide remains yours at all times. We will never sell, share, or use your data for anything outside your engagement.
We keep our methods. Verion retains ownership of its proprietary frameworks, prompt libraries, workflow templates, and internal tools. These are the building blocks we use across engagements; they contain no client-specific data.
The build itself is yours. The system we create for you (your workflows, prompts, configurations, and integrations) belongs to you in full, during the engagement and after it ends. If you leave, you take the working system with you and it keeps running without us.
Both sides agree to keep confidential information private. This means:
This obligation survives the end of the engagement. It does not apply to information that is already public, independently developed, or required to be disclosed by law.
For full details on what data we collect, how we use it, and your rights, please see our Privacy Policy.
When Verion processes your customers' data as part of running your automations, we act on your instructions and treat that data with the same care as our own. We do not use client customer data for any purpose other than delivering the agreed service.
We aim to keep your automations running reliably, but we cannot guarantee 100% uptime. Our systems depend on third-party platforms, and outages on their end are beyond our control.
If something goes wrong, contact us and we'll work to resolve it as quickly as possible. Response times depend on the severity of the issue and the terms of your retainer.
Either party can end an ongoing retainer with 30 days' written notice. During the notice period, we will continue to provide agreed services.
When an engagement ends:
Setup fees and fees for completed work are non-refundable, with one exception. If you do not like what we build, or it does not work for your business, Verion refunds the build within 30 days of launch. In return we ask for a short feedback call and your permission to show the project in our portfolio, with your name left out if you prefer.
Our services are provided "as is" and "as available." We do not guarantee that automations will be error-free, uninterrupted, or suitable for every use case without customisation. To the extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
To the fullest extent permitted by law, Verion will not be liable for any indirect, incidental, or consequential damages arising from our services, including lost profits, lost data, business interruption, or issues caused by third-party platforms.
Our total liability for any claim will not exceed the total fees you paid to Verion in the three months preceding the event that gave rise to the claim.
Nothing in these Terms limits any liability that cannot legally be limited or excluded under the laws of your country.
These Terms are governed by the laws of Thailand, as Verion is operated from Thailand. If you are a consumer or business located in the European Union, United Kingdom, Australia, Canada, or the United States, nothing in these Terms removes any mandatory protections you are entitled to under the laws of your own jurisdiction.
We may update these Terms from time to time as our services evolve or as required by law. When we do, we'll update the "last updated" date at the top of this page. If you are an active client at the time of a change, we will notify you directly. Continued use of our services after changes take effect means you accept the updated Terms.
If anything here isn't clear, we're happy to explain. Reach out any time.
